Company formation

  1. According to the 2012 company Act in the Republic of South Sudan; a company can be incorporated with 100 % Local shareholders or with both local (s) and foreigner(s) but with a minimum of 31% shares to a local investor and 69% to the foreign investor.
  2. If the company was registered in another country and the boards resolved to establish a branch; then they may register in South Sudan by requesting the Ministry of Foreign Affairs in their own country to write to the Ministry of Foreign Affairs of the Republic of South Sudan informing them of the company existence in another country and willingness to register the company in South Sudan. Foreign Affairs in South Sudan will transfer the letter to Ministry of Justice for company registration
